L&W Group and its respective affliates, subsidiaries and divisions ("L&W GROUP") strive to operate in a responsible manner, reduce and mitigate risk, and improve continuously. The way we conduct business is as important as the products and services we provide. Accordingly, L&W GROUP will only do business with suppliers, contractors, and consultants (collectively "Suppliers") who comply with applicable laws, rules, and regulations (collectively "applicable laws") and commit to our standards of business conduct, as set forth in this supplier ethics and standard of conduct declaration. L&W of GROUP expects that Suppliers, their employees, sub-suppliers and any other parties involved with the execution of L&W GROUP work, similarly comply with applicable laws and commit to the standards set forth in this Code.

Suppliers must be committed to the highest standards of ethical conduct, adhere to all applicable laws, in particular anti-corruption laws, and avoid any impropriety or perceived impropriety or conflict of interest. Supplier for this declaration refers to any business, entity, company, corporation or person that sells or seek to sell its services or goods to L&W GROUP, it includes the employees, agents and other representatives.

1.0 Business Integrity & Conflict of Interest

​

Corruption, extortion, and embezzlement, in any form, are strictly prohibited. Suppliers shall not violate any anti-corruption conventions, and applicable anti-corruption laws and regulations of the countries in which they operate, and shall not engage in corruption, extortion, or embezzlement in form. Suppliers shall not offer or accept bribes or other means to obtain an undue or improper any advantage. Suppliers shall not offer, promise or give to L&W GROUP employees gifts or provide otherwise economic advantages. All business dealings should be transparently performed and accurately reflected on Supplier's business books and records. Monitoring and enforcement procedures shall be implemented to ensure compliance with anti-corruption laws. Supplier shall not enter an employment, financial or any other relationship with an L&W GROUP employee or create, accept or tolerate otherwise any actual, potential or perceived conflict of interest. Such a conflict of interest might arise when the personal interests of an L&W GROUP employee are inconsistent with the responsibilities of the function of the employee within L&W GROUP. 2.0 Bribery

​

The Supplier's employees shall not directly or indirectly offer, request or accept, nor make any agreements herewith for, any bribes and/or iniquitous and illegal interests. Such interests shall include, but not be limited to kickbacks, gifts and gratuity, entertainment, transportation and accommodation, Small gifts and presents of minor value, in line with normal culturally and socially acceptable standards, are not considered to fall under this ruling. All employees of the Supplier shall be obliged to dissuade the business partner or its employees from conducting attempts of bribery.They shall not, directly or indirectly, request for, accept, take or make agreements for any bribes and/or iniquitous and illegal interests from any business partner or cause to favour himself/herself, his/her related persons and/or assignees.

 

3.0 Non-Solicitation

 

The Supplier shall not engage in solicitation of any staff members of L&W GROUP. Suppliers that have solicited L&W GROUP employees may be held liable for interfering with an existing contractual relationship in violation of the law of unfair competition. 

 

4.0 Disclosure of Information

​

Suppliers must accurately record and disclose information regarding their business activities, structure, financial situation, and  performance in accordance with applicable laws and regulations and prevailing industry practices.

5.0 Whistle-blower Protection

​

Suppliers shall create programs to ensure the protection of Supplier and worker whistle-blower confidentiality and prohibit retaliation against workers who participate in such programs in good faith or refuse an order that is in violation of this Supplier Declaration. Suppliers shall provide an anonymous complaint mechanism for workers to report workplace grievances in accordance with local laws and  regulations.

6.0 Combating Counterfeit Products

​

Suppliers shall not sell counterfeit products to L&W GROUP or third parties. Upon L&W GROUP's or request Suppliers

1. shall furnish proof of origin of products sold or offered to L&W GROUP,

2. demonstrate genuineness of all items used to manufacture products to be delivered or services to be rendered to L&W GROUP and

3. provide evidence that Suppliers instituted reasonable preventive measures to avoid the usage and sale of counterfeit products.

Suppliers shall inform L&W GROUP without delay if and when they are offered to buy counterfeit products, ilegally re-imported or stolen products or if and when they gain knowledge of such products related to products or services to be provided to L&W GROUP in any other way.

7.0 Management of Policy

7.1 Site and Supplier Visit and Audit

​

Supplier will allow L&W GROUP' employees or representatives to visit Supplier's or its subcontractors' facilities during normal business hours in order to allow L&W GROUP to assess /audit Supplier's to compliance with its obligations under this Declaration.

​

7.2 Consequences of Violations

 

The breach of one of the provisions of this Supplier Declaration would have serious impact on the partnership between the Supplier and L&W GROUP. Without limiting any other rights, L&W GROUP reserves the right to terminate or cancel the business relationship to the Supplier without any further liability if Supplier is in breach of an obligation under this Declaration. L&W GROUP reserve the right to recoup/ set off any damages, from amount due to supplier, if the supplier is in breach of obligation under this declaration.

7.3 Accountability for Subcontractors

 

Supplier shall remain primarily responsible for the acts and omissions of its agents or subcontractors as though such acts or omissions were its own. In the event that any of Supplier's subcontractors shall breach any of the obligations as stated in this Declaration, Supplier is obliged to give L&W GROUP imediately written notice thereof and is further obliged to immediately terminate any business relationship with the breaching subcontractor(s).

 

7.4 Period of Validity Term of the Supplier Declaration

 

This Declaration continues to be effective until terminated in accordance with the terms of the business relationship between L&W GROUP and Supplier. Modifications and Additions Deviation from or modification of the provisions and requirements of this Supplier Declaration is not allowed, unless otherwise agreed between L&W GROUP and Supplier in writing.

 

7.5 Severability

 

If any provision contained in this supplier Declaration is, for any reason, held to be invalid or unenforceable, in any respect, such invalidity or unenforceability will not affect the validity of the remaining provisions of this Declaration. In case of such invalidity or unenforceability Supplier agrees to attempt supplementing this Supplier Declaration by a mutually agreed covenant with L&W GROUP that comes near the economic objective of the invalid provision.

8.0 Acceptance and acknowledgement of L&W GROUP of Supplier Ethics and Standard of Conduct Declaration

 

We, the undersigned herby confirm:

 

1. That we have received and taken due note of supplier ethics and standard of conduct declaration and commit ourselves, in addition to our commitments as set out in the supply agreements with L&W GROUP to fully comply with its principles and requirements.

2. That we agree that L&W GROUP or a third party appointed by L&W GROUP may carry out periodic, unannounced inspections/ audits on our facilities to verify our compliance of supplier ethics and standard of conduct declaration

3. That we effectively communicate the contents of the of supplier ethics and standard of conduct declaration to our employees, agents, subcontractors and suppliers and ensure all measures required are implemented accordingly.

SUPPLIER ACKNOWLEDGES AND AGREES WITH L&W GROUP IN CONSIDERATION OF SUPPLIERS CONTINUING BUSINESS  RELATIONSHIP WITH L&W GROUP, AND REPRESENTS AND WARRANTS TOWARDS L&W GROUP, THAT SUPPLIER AND ANY OF ITS AFFILIATED  COMPANIES SHALL COMPLY WITH THE ETHICAL STANDARDS AND OTHER REQUIREMENTS LAID DOWN IN THIS "SUPPLIER AND STANDARD OF CONDUCT DECLARATION" DURING ITS ONGOING BUSINESS RELATIONSHIP WITH L&W GROUP. SUPPLIER SHALL COMPENSATE, DEFEND, INDEMNIFY AND HOLD L&W GROUP HARMLESS FROM AND AGAINST ANY AND ALL DAMAGES, LIABILITIES AND EXPENSES (INCLUDING REASONABLE LEGAL FEES), ARISING OUT OF OR IN CONNECTION WITH A BREACH BY SUPPLIER OF THIS SUPPLIER DECLARATION ON BUSINESS ETHICS OR ANY CLAIMS BY THIRD PARTIES RELATED THERETO.
